Experts
Expert Agreement (Expert Terms)
Parties
This Expert Agreement is entered into on [EFFECTIVE DATE] between Peritelos Advisory ("Peritelos") and [EXPERT NAME] ("Expert"), an independent business.
1. Independent contractor status
Expert is an independent contractor (sole proprietorship, LLC or corporation), not an employee, agent or partner of Peritelos, and has no authority to bind Peritelos. Expert alone controls how, when and where services are performed, supplies their own tools and is responsible for their own taxes, benefits and expenses. Peritelos does not direct or supervise Expert's work. Expert will provide tax forms such as [W-9 / W-8BEN].
2. Licenses and scope limits (condition of listing)
Expert is solely responsible for holding and maintaining every license, registration, certification and insurance their services require. Experts may only offer services within their credential and license. Experts must not offer audit/attest work (CPA), investment advice without registration (CFP/CFA), legal advice without a license (everyone but attorneys), or any other regulated service they are not authorized to provide. Staying within these limits is a condition of listing; breach may lead to suspension or delisting.
3. Services not offered
At launch, Peritelos does not offer, and Experts may not offer through the platform: (a) attest or audit services (for example financial statement audits, reviews or other attestation engagements by CPAs); (b) legal services or legal representation; or (c) personalized investment advice by anyone who is not appropriately registered or licensed as an investment adviser (or exempt). Each Expert is solely responsible for holding and maintaining any license, registration or certification their services require.
4. Accepted credentials and verification
Credentials accepted at launch: PMP (Project Management Professional) (Project Management Institute (PMI)): Project and program management advisory. CISSP (ISC2): Information security advisory and audit-readiness work. No audit or attest opinions. CISA (ISACA): IT controls, risk and audit-readiness advisory. No audit or attest opinions. CISM (ISACA): Security management, governance and risk-program advisory. No legal advice. CPA (Certified Public Accountant) (State boards of accountancy): Advisory work only. No audit, attest, review or compilation engagements. CFA charterholder (CFA Institute): Financial analysis, modeling and valuation advisory. No personalized investment advice unless separately registered (RIA/IAR) and verified. SHRM-CP / SHRM-SCP (SHRM): HR advisory and people operations. No legal advice on employment law. Lean Six Sigma (Green Belt / Black Belt) (Recognized issuing bodies only (for example ASQ or IASSC)): Process improvement advisory. Only certifications from recognized issuing bodies; self-issued or unaccredited certificates are not accepted. Prosci Certified Change Practitioner (Prosci): Change management advisory. AWS, Microsoft Azure and Google Cloud certifications (Amazon Web Services, Microsoft, Google Cloud): Cloud architecture, migration and operations advisory on the certified platform. Every credential accepted at launch is checked against the issuer's public registry. Expert authorizes Peritelos to check each listed credential against the issuer's public registry, to re-verify it periodically, and to run identity, background and reference checks. We verify that the credential exists and was in good standing on the date checked. We do not verify competence, the quality of an expert's work, or good standing after the date checked. A credential is not a recommendation or endorsement by Peritelos. Credentials are re-verified at least every 12 months and when they expire or renew. Experts must tell us if a credential lapses or is disciplined; we suspend or delist the profile while we check. Only accepted credentials may be listed, and the profile is not public until each is verified. Expert will tell Peritelos within [X] days if any credential lapses, expires, or is suspended or disciplined, and Peritelos may suspend or delist the profile while it checks. Coming later and not accepted at launch: CFP: Coaching and financial-planning education only. Investment advice only if the adviser separately shows registration as an investment adviser or investment adviser representative (RIA/IAR), and that registration is verified. Enrolled Agent (EA): IRS tax representation. Rules pending counsel review. Professional Engineer (PE): Engineering services, subject to state licensing checks. Healthcare compliance credentials: Healthcare compliance advisory. No legal advice. Attorneys (licensed, active bar membership): Attorneys pay a flat listing fee. Peritelos never takes a percentage or any share of legal fees, and attorney engagements are kept outside the 20% milestone fee. Attorney terms pending counsel review.
5. Professional liability (E&O) insurance
For regulated or high-stakes categories (financial, technology security, legal compliance) and the Enterprise Verified tier, Expert must maintain Errors & Omissions / professional liability insurance of at least [MINIMUM LIMIT] and upload proof of coverage.
6. Indemnification
Expert will indemnify, defend and hold Peritelos harmless from claims, damages, losses or lawsuits arising from Expert's services, advice or breach of this Agreement.
7. Non-circumvention
Expert agrees to the Non-Circumvention Agreement and will report any Client request to contract or pay off-platform.
8. Confidentiality
Expert will keep Client information confidential under the Mutual NDA, will not share confidential or material non-public information obtained from others, and will disclose potential conflicts before accepting an engagement.
9. IP assignment
Expert assigns to the Client, upon full payment, all rights in deliverables created under an SOW, as set out in the IP Assignment terms.
10. Payments, fees and payouts
Milestone payments are processed and held by our third-party payment processor, Stripe, under Stripe's terms, until released under the SOW and the Dispute Resolution Policy. Peritelos is not an escrow agent, bank or money transmitter, does not hold client funds in its own accounts, and does not provide escrow services. Peritelos charges a platform fee of 20% of each milestone by default (a reduced [EXPERT-SOURCED FEE %] for clients an Expert brings to the platform), shown before any SOW is signed. Payment processing fees charged by Stripe (for example card or bank-transfer fees of [PROCESSING FEE, e.g. 2.9% + $0.30 per card payment]) may apply and are shown before payment. The platform fee is deducted when a milestone payment is released, and the payout goes to Expert's connected Stripe account.
11. 48-hour review window
After an Expert submits a milestone deliverable, the Client has a 48-hour review window to approve it or open a dispute. If neither happens before the 48-hour review window closes, Stripe releases the milestone payment automatically.
12. Quality standards
Experts whose rating falls below [RATING THRESHOLD] or who receive a substantiated complaint may be placed on probation or suspended pending review.
13. Term and termination
Either party may terminate on [NOTICE PERIOD] notice. Confidentiality, IP, indemnification and non-circumvention survive termination.
14. Attorneys (coming later; pending counsel review)
Attorneys pay a flat listing fee. Peritelos never takes a percentage or any share of legal fees, and attorney engagements are kept outside the 20% milestone fee. Attorney terms pending counsel review. Attorneys may not list until the Attorney Listing Terms are final.
15. Governing law
The laws of the State of Georgia. [VENUE / ARBITRATION CLAUSE].
