Services not offered

At launch, Peritelos does not offer, and Experts may not offer through the platform: (a) attest or audit services (for example financial statement audits, reviews or other attestation engagements by CPAs); (b) legal services or legal representation; or (c) personalized investment advice by anyone who is not appropriately registered or licensed as an investment adviser (or exempt). Each Expert is solely responsible for holding and maintaining any license, registration or certification their services require.

Clients & Experts

Non-Circumvention Agreement

Plain-English summary: Keeps relationships that started on Peritelos on the platform, where contracts and protected milestone payments apply.

1. Covenant

For [TERM] months after the later of (a) introduction through Peritelos or (b) the end of the last engagement, neither Client nor Expert will contract, pay or be paid for consulting services with each other outside the Peritelos platform.

2. Reporting

Experts must report any request by a Client to work or pay off-platform.

3. Monitoring

Peritelos may review workspace communications and milestone payment records to enforce this Agreement, as disclosed in the Privacy Policy.

4. Liquidated damages

Because damages from circumvention are hard to calculate, the breaching party agrees to pay liquidated damages of [AMOUNT]. (Planning note: an attorney must set the amount and confirm enforceability under Georgia law.)

5. Conversion option

The parties may move a relationship off-platform by paying a conversion fee of [AMOUNT] agreed with Peritelos in writing.

6. Status of the parties

Expert is an independent contractor, not an employee or agent of Peritelos. Nothing in this Agreement makes Peritelos responsible for any Expert's services or advice.

7. Survival and governing law

This Agreement survives termination of any account, MSA or SOW and is governed by the laws of the State of Georgia.
