Terms of Service
1. Who we are
These Terms govern use of the Peritelos Advisory platform at https://peritelosadvisory.com operated by Peritelos Advisory, a [ENTITY TYPE] organized in Georgia ("Peritelos", "we"). By using the platform you agree to these Terms and the Privacy Policy.
2. Marketplace and venue only
Peritelos is a marketplace and venue where Clients find and engage independent experts. Experts are independent contractors, not employees, agents or partners of Peritelos. Peritelos does not itself provide professional, financial, investment, tax, legal or accounting advice, and does not direct or supervise any Expert's work. Clients choose and engage Experts directly and are responsible for that choice.
3. No professional advice
Nothing on the platform, including content, tools, matching suggestions or the Concierge assistant, is legal, tax, accounting or investment advice, or other professional advice, from Peritelos. Any professional advice is given solely by the independent Expert who provides it.
4. Services not offered
At launch, Peritelos does not offer, and Experts may not offer through the platform: (a) attest or audit services (for example financial statement audits, reviews or other attestation engagements by CPAs); (b) legal services or legal representation; or (c) personalized investment advice by anyone who is not appropriately registered or licensed as an investment adviser (or exempt). Each Expert is solely responsible for holding and maintaining any license, registration or certification their services require.
5. Accepted credentials and verification
Credentials accepted at launch: PMP (Project Management Professional) (Project Management Institute (PMI)): Project and program management advisory. CISSP (ISC2): Information security advisory and audit-readiness work. No audit or attest opinions. CISA (ISACA): IT controls, risk and audit-readiness advisory. No audit or attest opinions. CISM (ISACA): Security management, governance and risk-program advisory. No legal advice. CPA (Certified Public Accountant) (State boards of accountancy): Advisory work only. Lean Six Sigma (Green Belt / Black Belt) (Recognized issuing bodies only (for example ASQ or IASSC)): Process improvement advisory. Only certifications from recognized issuing bodies; self-issued or unaccredited certificates are not accepted. Prosci Certified Change Practitioner (Prosci): Change management advisory. AWS, Microsoft Azure and Google Cloud certifications (Amazon Web Services, Microsoft, Google Cloud): Cloud architecture, migration and operations advisory on the certified platform. Every credential accepted at launch is checked against the issuer's public registry. We verify that the credential exists and was in good standing on the date checked. We do not verify competence, the quality of an expert's work, or good standing after the date checked. A credential is not a recommendation or endorsement by Peritelos. Credentials are re-verified at least every 12 months and when they expire or renew. Experts must tell us if a credential lapses or is disciplined; we suspend or delist the profile while we check. Each verified credential shows a "Verified on [date]" stamp. Profiles are not public until every listed credential is verified. Coming later and not accepted at launch: CFP: Coaching and financial-planning education only. Investment advice only if the adviser separately shows registration as an investment adviser or investment adviser representative (RIA/IAR), and that registration is verified. Enrolled Agent (EA): IRS tax representation. Rules pending counsel review. Professional Engineer (PE): Engineering services, subject to state licensing checks. Healthcare compliance credentials: Healthcare compliance advisory. No legal advice. Attorneys (licensed, active bar membership): Attorneys pay a flat listing fee. Peritelos never takes a percentage or any share of legal fees, and attorney engagements are kept outside the 20% milestone fee. Attorney terms pending counsel review.
6. No guarantee of outcomes
Peritelos makes no warranty or guarantee about the business outcomes of any Expert's work.
7. Accounts, eligibility and deletion
You must be 18 or older, give accurate information, keep your login secure and be authorized to act for the business you represent. You may close your account and request deletion of your data at any time at https://peritelosadvisory.com/delete-account or by emailing [privacy@peritelosadvisory.com]. We may suspend or close accounts that violate these Terms.
8. Scope limits
Experts may only offer services within their credential and license. Experts must not offer audit/attest work (CPA), investment advice without registration (CFP/CFA), legal advice without a license (everyone but attorneys), or any other regulated service they are not authorized to provide. Clients should confirm that the expert's credential and scope fit their needs before engaging. Engagements do not create an attorney-client, accountant-client or adviser-client relationship with Peritelos.
9. On-platform contracting and payment
Engagements, messages, files and payments for relationships that start on Peritelos must stay on the platform. See the Non-Circumvention Agreement.
10. Payments
Milestone payments are processed and held by our third-party payment processor, Stripe, under Stripe's terms, until released under the SOW and the Dispute Resolution Policy. Peritelos is not an escrow agent, bank or money transmitter, does not hold client funds in its own accounts, and does not provide escrow services.
11. Fees
Peritelos charges a platform fee of 20% of each milestone by default (a reduced [EXPERT-SOURCED FEE %] for clients an Expert brings to the platform), shown before any SOW is signed. Payment processing fees charged by Stripe (for example card or bank-transfer fees of [PROCESSING FEE, e.g. 2.9% + $0.30 per card payment]) may apply and are shown before payment. Platform fees are deducted automatically when a milestone payment is released.
12. Reviews
Only Clients with a completed, paid engagement may review an Expert. Experts whose rating falls below [RATING THRESHOLD, e.g. 4.8] or who receive a substantiated complaint may be placed on probation or suspended pending review.
13. Disputes
After an Expert submits a milestone deliverable, the Client has a 48-hour review window to approve it or open a dispute. If neither happens before the 48-hour review window closes, Stripe releases the milestone payment automatically. Disputes follow the Dispute Resolution Policy. Peritelos's administrative decision on releasing or refunding a disputed milestone is final as to that milestone payment, to the extent permitted by law.
14. Limitation of liability
To the maximum extent permitted by law, Peritelos's aggregate liability is limited to [LIABILITY CAP, e.g. platform fees paid in the prior 12 months], and Peritelos is not liable for indirect, incidental or consequential damages or for any Expert's advice or services.
15. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. [VENUE / ARBITRATION CLAUSE, e.g. state or federal courts located in [COUNTY], Georgia].
16. Contact and changes
