Services not offered

At launch, Peritelos does not offer, and Experts may not offer through the platform: (a) attest or audit services (for example financial statement audits, reviews or other attestation engagements by CPAs); (b) legal services or legal representation; or (c) personalized investment advice by anyone who is not appropriately registered or licensed as an investment adviser (or exempt). Each Expert is solely responsible for holding and maintaining any license, registration or certification their services require.

Intellectual Property Assignment

Plain-English summary: Work product the independent expert creates for the client under an SOW belongs to the client on full payment. Experts keep pre-existing know-how and tools.

1. Assignment on full payment

Upon Client's full payment of all amounts due under an SOW (released through Stripe), Expert assigns to Client all right, title and interest in the deliverables, documents, code and other work product created specifically for Client under that SOW ("Work Product").

2. Before full payment

Until full payment, Expert grants Client a limited license to review the Work Product for evaluation and acceptance during the 48-hour review window only.

3. Pre-existing materials

Expert keeps tools, templates, methods and know-how created before or independently of the SOW and grants Client a [perpetual, non-exclusive] license to use any embedded in the Work Product.

4. Moral rights and further assurances

To the extent permitted by law, Expert waives moral rights in the Work Product and will sign documents reasonably needed to perfect the assignment.

5. Third-party materials

Expert will identify any third-party or open-source materials in the Work Product and their license terms.

6. Parties

This assignment is between Client and Expert, an independent contractor. Peritelos is not a party and acquires no rights in the Work Product.
