Services not offered

At launch, Peritelos does not offer, and Experts may not offer through the platform: (a) attest or audit services (for example financial statement audits, reviews or other attestation engagements by CPAs); (b) legal services or legal representation; or (c) personalized investment advice by anyone who is not appropriately registered or licensed as an investment adviser (or exempt). Each Expert is solely responsible for holding and maintaining any license, registration or certification their services require.

Mutual Non-Disclosure Agreement

Plain-English summary: Platform-standard mutual NDA between the Client and the independent Expert for every engagement. Peritelos is not a party to the advice.

Parties

This Mutual Non-Disclosure Agreement is made on [EFFECTIVE DATE] between [CLIENT NAME] and [EXPERT NAME], an independent contractor (each a "Party"), for the engagement "[PROJECT NAME]" arranged through the Peritelos Advisory marketplace. Peritelos is not a party to this NDA except as stated in section 8.

1. Confidential Information

"Confidential Information" means any non-public business, financial, technical, strategic or personal information disclosed by a Party, in any form, including everything uploaded, messaged or discussed in the Peritelos workspace.

2. Obligations

Each Party will (a) use the other's Confidential Information only for the engagement, (b) protect it with at least reasonable care, and (c) not disclose it except to personnel or advisers who need to know and are bound by similar obligations.

3. Exclusions

Confidential Information does not include information that is or becomes public through no fault of the recipient, was lawfully known before disclosure, is independently developed, or is lawfully received from a third party without restriction.

4. Compelled disclosure

If required by law to disclose, the recipient will give prompt notice (where lawful) and disclose only what is required.

5. Return or destruction

On request or at the end of the engagement, each Party will return or destroy the other's Confidential Information, subject to legal retention requirements.

6. Term

Obligations last for [TERM] years after the engagement ends, and indefinitely for trade secrets.

7. Remedies

Unauthorized disclosure may cause irreparable harm; the disclosing Party may seek injunctive relief in addition to other remedies.

8. Platform record

Peritelos keeps an audit log of the signature, timestamp and workspace activity and treats workspace content as confidential under its Privacy Policy.

9. No advice

Nothing on the platform, including content, tools, matching suggestions or the Concierge assistant, is legal, tax, accounting or investment advice, or other professional advice, from Peritelos. Any professional advice is given solely by the independent Expert who provides it.

10. Governing law

The laws of the State of Georgia.
