Peritelos's legal stack: Terms of Service for everyone, a Client MSA and Expert Agreement signed once, and a mutual NDA plus SOW for each engagement.

Services not offered

At launch, Peritelos does not offer, and Experts may not offer through the platform: (a) attest or audit services (for example financial statement audits, reviews or other attestation engagements by CPAs); (b) legal services or legal representation; or (c) personalized investment advice by anyone who is not appropriately registered or licensed as an investment adviser (or exempt). Each Expert is solely responsible for holding and maintaining any license, registration or certification their services require.

Statement of Work (SOW) Template

Plain-English summary: Agreed directly between the client and the independent expert: scope, deliverables, acceptance criteria, timeline, fees and the 30/40/30 protected milestone payment schedule processed by Stripe.

Parties

2. Scope and deliverables

[DELIVERABLES]. Anything not listed is out of scope and requires a change order. Services listed under "Services not offered" in the Terms of Service may not be included. Expert's verified credential and permitted scope for this SOW: [CREDENTIAL AND PERMITTED SCOPE, e.g. CPA - advisory only]. Experts may only offer services within their credential and license. Experts must not offer audit/attest work (CPA), investment advice without registration (CFP/CFA), legal advice without a license (everyone but attorneys), or any other regulated service they are not authorized to provide. Clients should confirm that the expert's credential and scope fit their needs before engaging.

3. Acceptance criteria

[ACCEPTANCE CRITERIA]. Client reviews each deliverable within the 48-hour review window.

4. Protected milestone payments

Milestone 1, Discovery & Strategy Audit: 30% of fee. Milestone 2, Execution Draft: 40%. Milestone 3, Final Deliverable Sign-Off: 30%. Client funds each milestone through Stripe before work on it begins. After an Expert submits a milestone deliverable, the Client has a 48-hour review window to approve it or open a dispute. If neither happens before the 48-hour review window closes, Stripe releases the milestone payment automatically. Peritelos is not an escrow agent or a bank.

5. Fees

Total SOW fee: [AMOUNT]. Platform fee: 20% (or the expert-sourced rate), deducted from each release. Payment processing fees (Stripe): [AMOUNT OR RATE]. Expert net: [AMOUNT].

6. Timeline

7. Change orders

Changes to scope, fee or timeline must be agreed in writing in the Peritelos workspace.

8. Independent contractor; no advice from Peritelos

Expert performs the services as an independent contractor and is solely responsible for them. Nothing on the platform, including content, tools, matching suggestions or the Concierge assistant, is legal, tax, accounting or investment advice, or other professional advice, from Peritelos. Any professional advice is given solely by the independent Expert who provides it.

9. Incorporated terms

The Client MSA, Mutual NDA, Non-Circumvention Agreement and IP Assignment terms apply to this SOW.
